Wolters Kluwer Health's Clinical Surveillance, Compliance and Data Solutions (CSCDS) organizations are fast-growing and innovation-driven healthcare information technology (HIT) and content providers developing solutions for the front lines of clinical care.
Position Location and Reporting Structure:
The Assistant General Counsel position can be based at WKH's offices in Denver, CO; Riverwoods, IL; or Madison, WI. For the right candidate, remote work will be considered. The position will be part of the Wolters Kluwer Law Department, will act at the lead attorney for CSCDS, and will report to the VP & Associate General Counsel for the Health Division of Wolters Kluwer.
Basic Functions and Principal Responsibilities:
The Assistant General Counsel will provide legal advice and guidance on a wide variety of commercial and contractual matters, as well as providing legal services for CSCDS on a global basis. This position will involve commercial contracting and licensing of software, technology and data and will be responsible for the provision of legal advice on regulatory compliance and dispute matters.
Specific accountabilities and responsibilities are expected to include the following:
- Provide hands-on legal assistance in structuring and drafting, negotiating, interpreting, analyzing risk, managing and enforcing contracts for commercial transactions, including (i) complex licensing and strategic alliance transactions with customers, technology partners, and platform vendors (ii) customer licenses and subscriptions for SaaS and data solutions, (iii) hosting, technical development or outsourcing services arrangements with supporting third party vendors, (iv) content or data procurement, software procurement and development, and other types of inbound licensing or purchase agreements from third party providers, (v) HIPAA business associate agreements, (vi) data processing agreements under GDPR and various US privacy laws, (vii) US Federal Government contracts, and (viii) a wide range of other commercial agreements, including non-disclosure agreements, teaming agreements, and responses to requests for proposal or information.
- Work closely with CSCDS' management on contractual and regulatory exposures and risks related to (i) development of new customer offerings or services, (ii) promotional or marketing activities for WKH products, (iii) sales practices, (iv) data protection and cybersecurity risks across different offerings, and (v) international market expansion (including multi-national anti-bribery/anti-corruption regulations, export and embargo restrictions, medical device regulations and privacy/security regulations).
- Provide comprehensive legal counseling regarding a broad spectrum of corporate, regulatory compliance, and intellectual property matters impacting the business units, including legal trends and issues related to HIPAA/HITECH Act compliance, healthcare information technology (HIT) developments and regulatory initiatives.
- Effectively manage, in a cost-efficient manner, outside counsel (in the US and abroad) who may support CSCDS' legal needs, whether transactional, litigation or compliance in nature, and collaborate and work closely with other attorneys within the WK Law Department who also may be involved in providing subject matter legal advice in areas such as litigation, human resources/employment or benefits matters, specialty IT/IP areas or M&A transactions.
- Develop a strong rapport and working relationship with the management teams and key leadership and other representatives of the CSCDS and other operating units to help drive the delivery of effective and high-quality legal services.
- Anticipate and assess legal and business risks associated with complex deal structures and transactions, communicate recommendations to senior business leaders, and advise on acceptable risk levels in line with the company's business objectives.
- Work with the VP & Associate General Counsel and others on process and commercial contracting improvements within CSCDS and WKH to help create greater consistency and efficiencies, including contract process improvement for, and use of appropriate technology to support, existing, new or acquired business units and product lines.
- Work closely with a group of contracts managers within CSCDS to support and help train them and, through them, drive greater consistency of contracting practices within CSCDS and enhanced outreach and training to business unit representatives.
- Develop an in-depth knowledge and understanding of WKH, its people, organization, markets, products, customers, competitors, and regulatory environment, in order to identify trends, stay abreast of material developments and provide high level legal advice to the businesses on emerging opportunities and risks.
Education and Experience:
Candidates are required to have both a bachelor's degree and law degree (J.D.), with academic distinction, from highly regarded, nationally recognized educational institutions. Candidate must be admitted to practice in the state in which he/she resides. The successful candidate will have ten (10) or more years of progressively responsible corporate/commercial legal experience, preferably including experience with both a top-tier law firm and an established corporate law department. This experience should include, among other things, hands-on legal work on a variety of sophisticated domestic and international commercial contracts in the healthcare industry, preferably with experience in HIT, software licensing and SaaS subscriptions.
The Assistant General Counsel should be familiar with general healthcare laws applicable to medical providers and payer organizations, some of which may apply directly to CSCDS and others of which may be applicable to healthcare provider or payer customers or vendors and may be raised in the course of contractual negotiations with such customers of CSCDS. The Assistant General Counsel must have a strong understanding of HIT concepts, software licensing and SaaS subscription and other arrangements, as well as HIPAA/HITECH Act compliance. Familiarity with government contracting (particularly with Veterans Affairs (VA) hospitals and the Department of Defense (DoD), including Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulation Supplement (DFARS) and other government contracting regulations is preferred.

Salary range: $168,000 - $240,000
